Terms of Service

These Terms of Service (“Terms”) govern your use of My Directory Kit, a service operated by Yakuta Consulting LLC (“we,” “us,” or “our”). By subscribing to or using My Directory Kit (“Service”), you agree to these Terms.
1. Service Description
My Directory Kit provides managed WordPress directory website hosting and related tools. We provide:
- Hosted WordPress directory websites
- Directory management tools and features
- Optional AI-powered content generation and SEO tools
- Technical infrastructure including hosting, backups, and SSL certificates
2. Account Registration
To use the Service, you must:
- Be at least 18 years old
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access to your account
You are responsible for all activity that occurs under your account.
3. Subscription and Payment
The Service is offered on a monthly subscription basis. By subscribing, you agree to:
- Pay the applicable monthly subscription fee
- Provide valid payment information
- Authorize recurring monthly charges to your payment method
Subscription fees are billed in advance on a monthly basis. Prices are subject to change with 30 days notice to existing subscribers.
4. Refund Policy
All subscription payments are non-refundable. You may cancel your subscription at any time, and your access will continue until the end of your current billing period. No partial refunds are provided for unused portions of a subscription period.
5. Cancellation
You may cancel your subscription at any time through your account dashboard or by contacting us. Upon cancellation:
- Your access continues until the end of the current billing period
- No further charges will be made after cancellation
- Your site and data will be retained for 90 days after your subscription ends
- After 90 days, your site and all associated data will be permanently deleted
You may request a data export before your site is deleted by contacting support.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Distribute malware, spam, or malicious content
- Host illegal content or facilitate illegal activities
- Attempt to gain unauthorized access to our systems or other users’ accounts
- Overload or interfere with the Service’s infrastructure
- Scrape, harvest, or collect data from other users without consent
We reserve the right to suspend or terminate accounts that violate these terms without refund.
7. Your Content and Data
You retain ownership of all content you upload to or create on your directory site (“Your Content”). By using the Service, you grant us a limited license to host, store, and display Your Content solely to provide the Service.
You are solely responsible for:
- The content you publish on your directory site
- Compliance with applicable laws regarding your content and your users’ data
- Obtaining necessary rights and permissions for content you upload
- Your own privacy policy and terms of service for your directory users
8. Data Processing for Directory Sites
When you operate a directory site through our Service and collect data from your own users:
- You are the data controller responsible for that data
- We act as a data processor providing infrastructure and tools
- You must comply with applicable privacy laws (GDPR, CCPA, etc.) for data you collect
- You must provide your own privacy policy to your directory users
9. Intellectual Property
The Service, including its software, design, and documentation, is owned by Yakuta Consulting LLC and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your directory business.
You may not:
- Copy, modify, or distribute our software or code
- Reverse engineer or attempt to extract source code
- Resell or sublicense the Service to third parties
- Remove or alter any proprietary notices
10. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide advance notice when possible)
- Emergency repairs or security updates
- Factors beyond our reasonable control
11. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided “as is” without warranties of any kind
- We are not liable for any indirect, incidental, special, or consequential damages
- Our total liability is limited to the amount you paid us in the 12 months preceding the claim
- We are not responsible for data loss; you should maintain your own backups of critical content
12. Indemnification
You agree to indemnify and hold harmless Yakuta Consulting LLC from any claims, damages, or expenses (including attorney fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you publish through the Service
13. Termination
We may suspend or terminate your access to the Service:
- For violation of these Terms
- For non-payment of subscription fees
- If required by law
- At our discretion with 30 days notice
Upon termination, your right to use the Service ends immediately. Sections regarding intellectual property, limitation of liability, and indemnification survive termination.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Arizona.
