Welcome to My Directory Kit, a service operated by Yakuta Consulting LLC (“Company,” “we,” “us,” or “our”). By accessing or using our platform at mydirectorykit.com and any associated directory sites, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the service.

1. Service Description

My Directory Kit provides managed WordPress directory website hosting and related tools, including:

  • Hosted WordPress multisite directory websites
  • Directory management tools and listing administration
  • Built-in CRM (customer relationship management) with lead tracking, estimates, invoices, contracts, and automation
  • AI-powered content generation tools
  • SMS and email communication tools for CRM outreach
  • Online payment processing through Stripe
  • Review collection and management
  • Analytics and reporting dashboards
  • Technical infrastructure including hosting, SSL certificates, and custom domain support

2. Account Registration

To use My Directory Kit, you must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Report any unauthorized access to your account immediately

You are responsible for all activity that occurs under your account.

3. Subscription and Payment

My Directory Kit operates on a recurring subscription basis. By selecting a plan, you agree to:

  • Pay the applicable subscription fee on a monthly or annual basis, billed in advance
  • Authorize us to charge your payment method on file for recurring payments
  • Accept that prices may change with 30 days’ notice to existing subscribers

Payments are processed securely through Stripe. We do not store your full credit card details on our servers.

4. Refund Policy

All subscription payments are non-refundable. If you cancel your subscription, you will retain access through the end of your current billing period. No partial refunds are issued for unused time within a billing cycle.

5. Cancellation

You may cancel your subscription at any time from your dashboard. Upon cancellation:

  • You will retain access to your site through the end of the current billing period
  • Your site and all associated data will be permanently deleted 90 days after your subscription ends
  • You may request a data export before deletion

6. SMS and Text Messaging

By using My Directory Kit, you consent to receive SMS text messages from us related to your account. These messages may include:

  • Account notifications and security alerts
  • Billing reminders and payment confirmations
  • Service updates and platform announcements

Message frequency: Message frequency varies based on account activity. Typically 1 to 10 messages per month.

Message and data rates: Standard message and data rates from your wireless carrier may apply.

Opt-out: You may opt out of SMS messages at any time by replying STOP to any message. After opting out, you will receive a confirmation message and no further SMS will be sent. You may opt back in by replying START.

Supported carriers: Messages are sent via Twilio and are compatible with all major U.S. wireless carriers.

6.1 CRM SMS Communications

If your plan includes CRM features, you may use the platform to send SMS messages to your own leads, contacts, and customers. When using this feature, you agree to:

  • Only send messages to individuals who have provided their contact information through your directory website or who have otherwise consented to receive communications from you
  • Comply with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act
  • Include opt-out instructions in your messages
  • Honor opt-out requests promptly
  • Not send messages that are deceptive, misleading, or contain prohibited content

You are solely responsible for ensuring your SMS communications comply with applicable laws. We reserve the right to suspend CRM messaging capabilities if we determine messages are being sent in violation of these terms or applicable law.

7. Acceptable Use

You agree not to use My Directory Kit to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Distribute malware, viruses, or malicious code
  • Host illegal, obscene, or harmful content
  • Attempt unauthorized access to our systems or other users’ accounts
  • Interfere with the operation of our infrastructure
  • Scrape or harvest data without consent
  • Send unsolicited bulk communications (spam) through any channel, including SMS, email, or the CRM

8. Your Content and Data

You retain ownership of all content you create and upload to your directory, including listings, reviews, images, and other data. By using the service, you grant us a limited, non-exclusive license to host, display, and transmit your content solely for the purpose of providing the service.

9. Data Processing for Directory Sites

When you operate a directory site on our platform, you act as the data controller for any personal data collected through your site (such as listing owner information, visitor data, and CRM contacts). We act as the data processor. You are responsible for:

  • Maintaining a privacy policy on your directory site that complies with applicable laws
  • Obtaining necessary consents from your users and contacts
  • Complying with GDPR, CCPA, and other applicable privacy regulations

10. Payment Processing

Payment processing on the platform is handled through Stripe. If your plan includes CRM invoice payment features, your customers’ payments are processed through your own Stripe account. You agree to comply with Stripe’s terms of service and applicable payment card industry standards.

11. Intellectual Property

My Directory Kit, including its software, design, features, and documentation, is the property of Yakuta Consulting LLC. You are granted a limited, non-exclusive, non-transferable license to use the service during your active subscription. You may not modify, reverse engineer, distribute, or resell any part of the platform.

12. Service Availability

We strive for high availability but do not guarantee uninterrupted access. Downtime may occur due to:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency repairs or security updates
  • Factors outside our control, including third-party service outages

13. Limitation of Liability

The service is provided “as is” without warranties of any kind, express or implied. To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • Our total liability is limited to the amounts you have paid us in the 12 months preceding the claim
  • We are not responsible for the content, accuracy, or legality of listings or other data on your directory site

14. Indemnification

You agree to indemnify and hold harmless Yakuta Consulting LLC, its officers, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your infringement of third-party rights
  • Content published on your directory site
  • SMS or email communications sent through the CRM to your contacts

15. Termination

We may suspend or terminate your account if:

  • You violate these Terms
  • Your payment method fails and is not updated within the grace period
  • Required by law
  • At our discretion with 30 days’ advance notice

16. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through a notification in your dashboard. Continued use of the service after changes take effect constitutes your acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of the State of Arizona. Any disputes shall be resolved in the state or federal courts located in Arizona.
